Job Description

Our client is a well-established international alternative investment management platform with a strong presence in Luxembourg. Operating in a dynamic and highly regulated environment, the organisation manages a broad range of private market investment structures and offers exposure to complex, cross-border transactions within a collaborative and entrepreneurial culture.

Key responsibilities:

Corporate Governance & Entity Management
  1. Ensure the day-to-day corporate governance of Luxembourg fund vehicles/aggregators.
  2. Maintain statutory records and corporate registers.
  3. Monitor signature powers, corporate authorisations and governance documentation.
  4. Follow up on annual accounts approval processes.
Fund Structuring & Incorporations
  1. Coordinate the establishment of Luxembourg fund vehicles and aggregators.
  2. Draft corporate documentation, including notices, agendas, minutes, proxies and attendance lists.
  3. Liaise with Compliance, Risk, Finance and Legal teams, as well as external counsel, regarding incorporation and marketing formalities.
Board Meetings & Closings
  1. Organise, prepare and coordinate board meetings related to fund closings.
  2. Prepare notices, agendas, minutes, written resolutions, proxies and attendance lists.
  3. Collaborate closely with internal legal counsel, finance teams and external advisers.
Documentation & Execution
  1. Prepare subscription documentation for internal entities.
  2. Coordinate internal approval and signature processes.
  3. Manage execution of legal documentation, including notarial deeds where required.
  4. Coordinate apostille and legalisation processes.
  5. Maintain and track original documentation.
AML/KYC & Onboarding
  1. Coordinate AML/KYC and onboarding requirements.
  2. Work closely with Compliance and Operations teams.
  3. Collect and maintain investor, shareholder and director documentation.
Corporate Records & Regulatory Filings
  1. Review, maintain and archive corporate records.
  2. Coordinate statutory filings and updates with Luxembourg registers (RCS and RBE/UBO).
  3. Ensure completeness, audit readiness and timely retrieval of records and official receipts.
Qualifications & Experience Education
  1. Master's degree in Law (or equivalent).
  2. Specialisation in corporate/company law would be advantageous.
  3. Luxembourg legal or fund industry experience is highly desirable.
Professional Experience
  1. Minimum 5 years of experience in:
  2. Corporate legal functions;
  3. Regulated financial services;
  4. Fund or asset management;
  5. Law firms;
  6. Corporate services providers; or
  7. In-house legal departments.
Languages
  1. Fluent French and English, both written and spoken.
Technical Skills
  1. Strong proficiency in Microsoft Office.
  2. Experience with corporate databases, filing portals and document management systems is an advantage.
  3. Interest in artificial intelligence and legal technology, with a willingness to explore innovative solutions that improve efficiency, knowledge sharing and compliance.
