We are recruiting for a large private equity company a Senior Accounting & Admin Associate to assist in the financial and governance requirements of Luxembourg holding companies and Luxembourg Funds, whilst also taking a supporting role in deal execution.

 

Key Responsibilities

 

Luxembourg Holding Company Governance

  • Support Directors and Managers of the Accounting & Administration team in managing the Funds/SPV lifecycle in Luxembourg.
  • Learn and ensure compliance with Luxembourg holding and fund structure governance requirements from a finance, legal and tax perspective, including:
    • Organising and attending regular board and shareholder meetings in Luxembourg.
    • Drafting, executing and filing board minutes at registered offices, ensuring all documentary approvals remain compliant (notices, agendas, papers, proxies and signatures).
  • Monitor regulatory developments in Luxembourg and work with internal Finance/Tax teams and external advisers to assess and mitigate risks.
  • Manage timely submission of compliance filings, including direct/indirect tax returns and Central Bank reporting.
  • Perform bookkeeping and prepare periodic reporting.
  • Organise, supervise and review annual accounts.
  • Support the management of audit processes at Fund and SPV level.
  • Ensure Luxembourg holding companies and Funds remain compliant, including transfer pricing studies, audit planning and accounting consolidation procedures.

Transaction-Related Duties

  • Understand fund flows, deal documents and financing instruments used across Luxembourg structures.
  • Assist international Finance teams in creating and managing waterfall mechanisms and fund flow schedules for liquidity events (capital calls, distributions, exits and refinancings).
  • Coordinate cash flows required to fund new deals and portfolio M&A transactions.
  • Coordinate with external advisers to execute documentation and corporate approvals related to transactions.
  • Provide corporate governance support to shareholders, directors and stakeholders, including:
    • Dividend declarations
    • Share issuances, transfers and registers
    • Changes of directors
    • Incorporation or dissolution of companies
    • Debt/equity instrument issuances or redemptions
  • Execute board member responsibilities in accordance with lawful and ethical standards.

Other Duties

  • Monitor external adviser relationships and ensure costs remain efficient.
  • Build strong working relationships with management and finance teams across portfolio companies.

Requirements
  • Strong analytical skills and interest in the private equity industry.
  • Up to five years of relevant experience in a similar role.
  • Knowledge of Luxembourg legislation and regulatory framework.
  • Experience in private equity, fund administration or AIFM environments is an advantage.
  • Good understanding of Luxembourg accounting, tax, financial and legal matters.
  • Master’s degree in Economics & Finance or qualified accountant.
  • Strong problem-solving and organisational skills.
  • Ability to manage multiple priorities and work under pressure.
  • Excellent interpersonal, verbal and written communication skills.
  • Excellent command of English; additional European languages are a plus.
  • Collaborative and adaptable team player eager to learn in a dynamic environment.
