Job Description

We are looking for an experienced legal support to join a highly professional, stable and pleasant governance team within an international private equity firm. Working closely with experienced corporate administrators, you will be given a high level of autonomy and be given the opportunity to work in a qualitative and dynamic environment.

Your Responsibilities


  • Oversee the day-to-day corporate governance and company secretarial activities of Luxembourg fund vehicles and aggregators.
  • Support the establishment of Luxembourg fund vehicles and aggregators by preparing and coordinating corporate documentation.
  • Organize, prepare, and coordinate board meetings and transaction closings for Luxembourg fund vehicles and aggregators, working closely with internal Legal and Finance teams as well as external counsel
  • Prepare subscription documentation for internal entities and coordinate the execution and collection of internal approvals and signatures.
  • Act as a key point of contact with internal Legal and Finance teams, external counsel, notaries, banks, and other service providers.
  • Coordinate AML/KYC and onboarding processes in collaboration with Compliance and Operations teams.
  • Review, maintain, and archive corporate records and legal documentation, while coordinating statutory filings and corporate updates with Luxembourg authorities and registers, including the RCS and RBE/UBO. Ensure records remain complete, audit-ready, and readily accessible.

Your Profile


  • Master's degree in law (or equivalent qualification), preferably with a specialization in corporate or company law. Previous experience within the Luxembourg legal and regulatory environment.
  • Minimum of 5 years of relevant experience gained within a corporate legal department, regulated financial services institution, fund or asset management environment, professional services firm, corporate services provider, or law firm in Luxembourg.
  • Fluency in both French and English, (written and verbal mandatory).
  • Strong proficiency in Microsoft Office applications. Experience with corporate governance databases, regulatory filing portals, and document management systems would be advantageous.
