Job Description

A well-established asset management and fund management business is seeking an experienced Legal professional to support the Legal & Regulatory Affairs function in Luxembourg.

The successful candidate will work closely with senior stakeholders across the business and provide legal and corporate governance support in relation to regulated investment funds and the management company.
This position would suit a qualified lawyer with strong experience within Luxembourg's investment funds industry, particularly within Management Companies, AIFMs, or asset management firms.
Key Responsibilities
  • Provide legal advice and support to management, colleagues, boards of directors, and affiliated entities on legal and corporate governance matters.
  • Draft, review, negotiate, and maintain a broad range of commercial and fund-related agreements.
  • Support legal matters relating to UCITS and AIF structures, including alternative asset classes.
  • Assist with the oversight of the legal and regulatory framework applicable to investment funds and management company activities.
  • Review and negotiate distribution, marketing, and service provider agreements across multiple jurisdictions.
  • Participate in regulatory interactions and coordinate responses to legal and regulatory developments.
  • Prepare and review corporate governance documentation, including board resolutions, shareholder resolutions, minutes, and governance records.
  • Contribute to the maintenance and enhancement of internal legal policies, procedures, and controls.
  • Collaborate with Compliance, Risk, Operations, external counsel, auditors, fund service providers, and other stakeholders.
  • Support board and committee governance processes, including meeting preparation and follow-up actions.
  • Identify legal risks and provide pragmatic, commercially focused solutions to business stakeholders.
  • Prepare reporting for senior management and group-level legal functions.

Candidate Profile
  • Qualified lawyer within an EU jurisdiction.
  • Approximately 8+ years of relevant legal experience within the Luxembourg funds industry.
  • Experience gained within a Management Company, AIFM, asset manager, fund platform, or similar environment.
  • Strong knowledge of UCITS, AIFMD, fund governance, and Luxembourg funds regulation.
  • Proven experience drafting and negotiating commercial, distribution, and fund-related agreements.
  • Comfortable interacting with regulators, external advisers, and senior management.
  • Fluent English is required. Additional European languages, particularly German, would be advantageous.
  • Strong analytical skills with a pragmatic and solution-oriented approach.
  • Advanced Microsoft Office skills.
  • Experience using legal technology and AI-enabled productivity tools is beneficial.
  • Collaborative team player with strong stakeholder management skills.
