A leading Am Law firm is seeking an experienced
Acquisition Finance Associate Attorney with 3–5 years of experience representing private equity funds in acquisition financing transactions. The ideal candidate will have demonstrated experience leading transactions and working on borrower-side matters.

The Corporate and Private Equity practice handles sophisticated private equity transactions across a broad range of matters, including leveraged buyouts, independent sponsor transactions, roll-ups, minority and junior capital investments, going-private transactions, and acquisitions of distressed companies. The practice also advises emerging managers, general partners, and limited partners on private equity, growth equity, venture capital, mezzanine, and real estate fund formations.

The
Associate Attorney will have the opportunity to work on sophisticated acquisition financings as part of a large, nationally recognized private equity platform. Candidates should be comfortable taking transactions from inception through closing and working independently with clients and colleagues.

Qualifications
3–5 years of experience handling acquisition financing transactions for private equity funds
Demonstrated ability to lead acquisition financing transactions
Significant borrower-side experience required
Strong understanding of private equity and acquisition finance transactions
Strong academic record
Excellent legal writing and oral communication skills
Ability to work independently with clients and colleagues
Strong interpersonal and organizational skills
California Bar admission required
Willingness to leverage innovative technology platforms, including AI tools, to enhance legal research, drafting, and analytical work
