A Corporate Associate, typically a lawyer at a corporate law firm, advises clients on legal matters related to corporate governance, transactions, and compliance, often assisting with mergers and acquisitions, contract negotiations, and regulatory compliance.

Corporate Associate 

Our Client is actively seeking a Corporate Associate with four to seven years of experience to join one of their offices in Boston, Stamford, New Haven, or New York. This position offers an opportunity to work on complex corporate transactions in a sophisticated and collaborative law firm environment.

Key Responsibilities:

  • Transactional Work: Draft, review, and negotiate agreements for complex transactions, including Mergers & Acquisitions (M&A), Venture Capital, and Private Equity transactions.
  • Corporate Governance: Advise clients on corporate governance matters, entity structuring, and best practices for compliance.
  • Securities Compliance: Assist clients with securities law compliance, including filings, disclosure obligations, and regulatory matters.
  • Client Advisory: Work closely with corporate clients, including startups, private equity firms, and established businesses, providing strategic guidance on transactions and corporate matters.
  • Cross-functional Collaboration: Partner with attorneys across practice areas such as tax, IP, and finance to ensure seamless deal execution.

Qualifications

Qualifications:

  • Experience Level: 4-7 years of relevant law firm experience.
  • Transactional Expertise: Strong background in M&A, Venture Capital, or other complex corporate transactions.
  • Corporate & Securities Law: Familiarity with securities law compliance and corporate governance is a plus.
  • Strong Drafting & Negotiation Skills: Ability to draft and negotiate transaction documents efficiently.
  • Jurisdiction: Admission to the bar in at least one of the states where our Client has an office (MA, CT, NY) or the ability to become admitted.

Base Salary: The target base pay range for this role in Boston, Connecticut, and New York is $185,000 – $275,000, depending on experience and other relevant factors.
