Associate General Counsel - Commercial Contracts

Job Summary

This wholesale materials organization is seeking an attorney to join its in-house Legal Department and serve as a key legal advisor on commercial contracting matters, leading contract drafting, negotiation, process improvement initiatives, and risk management efforts. This is an in-office position in Beloit, WI.

Key Responsibilities

• Lead the drafting, review, negotiation, and management of a broad range of commercial agreements, including supply chain, sales, service, confidentiality, and other business contracts. Develop and maintain contract templates, standard agreements, and warranty forms.

• Partner closely with sales, procurement, and other business stakeholders to negotiate contracts with customers, vendors, and service providers. Ensure agreements support business objectives while appropriately managing legal and commercial risk.

• Oversee and enhance contract review and approval processes within the Legal Department. Drive workflow improvements, optimize contract turnaround times, and support the implementation of contract lifecycle management tools, systems, and best practices.

• Provide practical legal advice and risk management guidance to the company and its subsidiaries on a variety of commercial and corporate matters.

• Manage and mentor junior attorneys and contract administrators involved in commercial contracting activities.

• Perform additional duties and special projects as assigned.

Qualifications

• J.D. from an ABA-accredited law school.
• Licensed to practice law in at least one U.S. jurisdiction.
• 7+ years of legal experience in a law firm, corporate legal department, or a combination of both.
• Experience with contract lifecycle management (CLM) systems, particularly Ironclad.
• Knowledge of Article 2 of the Uniform Commercial Code (UCC) and related commercial law principles.
