PE TRANSACTION OPERATIONS OFFICER (M/F)

Our client is a leading European private equity firm with a diversified investment platform spanning multiple geographies, sectors, and strategies.We are looking to hire a PE Transaction Operations Controller to join a Luxembourg SPV team.

Reporting to the SPV Manager, you will support the implementation and ongoing management of Luxembourg SPV structures throughout the investment lifecycle. The role combines transaction execution, SPV oversight and stakeholder coordination across a diverse portfolio of Luxembourg holding and financing entities.

Working closely with the Fund teams, investment professionals across Europe, key stakeholders in other European offices, as well as legal advisers, banks and external service providers, you will coordinate and execute transaction-related activities, support the implementation of acquisition structures and contribute to the day-to-day management of Luxembourg SPVs.

The role offers broad exposure across transaction execution, SPV management and governance processes, providing the opportunity to develop a comprehensive understanding of Luxembourg private equity structures.

Key responsibilities:

Transaction Execution & Structure Implementation

· Coordinate and execute SPV transactions throughout the full investment lifecycle, from acquisition and structuring through to refinancing, reorganisation and disposal, ensuring timely resolution of operational and transaction-related matters.

· Contribute to the setup and implementation of complex acquisition structures across private equity investments, coordinating all related funding and cash flow processes, including equity contributions, shareholder loans, acquisition financing, distributions and debt repayments across Luxembourg SPVs, holding structures and funds.

· Review and coordinate legal and transaction documentation in liaison with lawyers, notaries, banks and other external advisers.

· Partner with the Corporate Legal Officer to review and/or prepare legal documentation related to financing transactions and corporate actions, including capital call notices, loan agreements and board documentation.

SPV Management & Operations

· Participate in the day-to-day oversight and management of Luxembourg SPV structures, maintaining an understanding of their corporate, financing, liquidity and operational status throughout the investment lifecycle.

· Monitor cash positions and funding requirements across assigned structures and proactively identify and escalate potential liquidity needs.

· Coordinate bank account openings and banking matters with counterparties and service providers.

· Act as a key operational contact for assigned SPVs, ensuring that corporate, transactional and operational matters are appropriately coordinated and followed through to completion.

· Be involved in all aspects of SPV administration, from incorporation through to liquidation.

· Maintain accurate and timely transaction records and updates within internal systems, with support from the SPV Accountants.

· Support AML/KYC on assets due diligence processes through the designated platform.

· Assist with regulatory reporting requirements, including CSSF notifications and BCL reporting.

· Coordinate completion and post-completion documentation matters, ensuring documentation is complete, compliant and appropriately archived.

Governance & Stakeholder Management

· Provide clear and regular feedback to management and relevant stakeholders on transaction status, risks, dependencies and priorities

· Prepare ad hoc reporting, including Co-Investor capitalisation tables and other transaction-related analyses.

· Manage a high volume of daily communications and requests while maintaining accuracy, responsiveness and attention to detail.

· Contribute to the continuous improvement and documentation of transaction, governance and operational processes.

Profil recherché

• University degree or equivalent academic background in Finance, Business, Accounting or a related discipline.

• At least 3 years of relevant experience within a private equity fund, fund administrator or a Big Four environment.

• Good knowledge of the Luxembourg legal and regulatory framework.

• Understanding of private equity structures, Luxembourg SPVs and transaction flows.

• Strong Excel skills.

• Strong interpersonal and communication skills, with confidence working across legal, finance, fund and investment teams.

• Sound judgement, a proactive mindset and the ability to perform in a fast-paced environment.

• Strong attention to detail and a commitment to delivering high-quality work.

• Excellent organisational skills, with the ability to manage multiple priorities and deliver to tight deadlines.

• Ability to take ownership of issues, work independently and drive matters through to resolution.

• Collaborative team player with the ability to build trusted working relationships.

• Curiosity and willingness to deepen knowledge of private equity structures, governance and related AML/KYC processes.

• Fluent in English, both written and spoken. French is considered as a strong advantage.
