ABOUT THE POSITION

We are seeking a practical, business-minded Associate General Counsel / Corporate Counsel to work alongside the in-house legal team and support the company’s corporate governance and entity-management functions. Working collaboratively with the General Counsel and other members of the in-house legal team, this role will help maintain strong governance practices, accurate corporate records, clear decision authority, and consistent compliance across the company and its affiliated entities.

The ideal candidate will have at least 3 years’ relevant legal experience, with substantial experience in corporate governance, entity management, board and member actions, and organizational compliance. This position requires sound judgment, excellent organization, and the ability to work closely with senior executives and business leaders.

WHAT YOU WILL DO

· Advise senior management on corporate governance requirements, governance best practices, fiduciary duties, delegated authority, and organizational decision-making.

· Manage entity formation, qualification, maintenance, restructuring, dissolution, and related governance matters for the company and its affiliated entities.

· Draft and maintain articles of organization or incorporation, bylaws, operating agreements, amendments, resolutions, written consents, meeting minutes, and other governance documents.

· Coordinate and document board, member, manager, and committee meetings and actions, including agendas, materials, approvals, minutes, and follow-up items.

· Maintain corporate minute books, ownership and organizational records, signature-authority matrices, officer and director records, and entity charts.

· Monitor annual reports, business licenses, registered-agent matters, beneficial-ownership requirements, and other recurring entity-level filings and deadlines.

· Establish and administer governance calendars, document-retention standards, approval protocols, and internal controls for corporate records.

· Review proposed corporate actions to confirm that required approvals, delegations, notices, consents, and supporting documentation are completed accurately and on time.

· Support governance-related due diligence, internal reorganizations, financings, acquisitions, dispositions, and other corporate transactions by organizing entity records and required approvals.

· Work alongside the General Counsel and the in-house legal team, as well as executives, finance personnel, tax advisors, and registered agents, on governance and entity matters.

· Prepare concise governance reports, entity-status summaries, and decision materials for senior management.

· Supervise the litigation paralegal’s workload, organization, deadlines, and administrative coordination in collaboration with the in-house attorney responsible for handling litigation matters; this position does not perform litigation work.

IDEAL CANDIDATE

· Juris Doctor (J.D.) from an accredited law school.

· Active license to practice law in Nevada, or the ability to obtain Nevada admission promptly.

· At least 3 years’ relevant legal experience.

· Meaningful experience with corporate governance, entity management, board or member actions, corporate records, and organizational compliance.

· Experience supporting multiple affiliated entities and maintaining complex entity structures is strongly preferred.

· Excellent legal transactional drafting, review, research, analytical, organizational, verbal communication skills, and negotiation skills

· Sound judgment, high integrity, strong attention to detail, and the ability to manage multiple priorities and recurring deadlines.

· Practical, decisive, discreet, and comfortable working directly with executives and operating teams.

PARTICULARLY VALUABLE EXPERIENCE

· Corporate governance frameworks and best practices

· Entity formation, qualification, maintenance, restructuring, and dissolution

· Board, member, manager, and committee resolutions, consents, minutes, and records

· Operating agreements, bylaws, organizational documents, and amendments

· Corporate minute books, entity charts, ownership records, and signature authority

· Annual filings, business licenses, registered-agent coordination, and governance calendars

· Governance support for financings, acquisitions, dispositions, and internal reorganizations

· Oversight of corporate records, approval workflows, and document-retention practices
