Job Description

Are you ready to take your governance and company secretarial expertise to the next level? At Beyond Governance , we’re looking for a talented governance professional to join our growing team of ex–in-house experts. This is a chance to work across a wide range of clients and projects, making a tangible impact on corporate governance while enjoying the flexibility of our remote-first set-up.

Beyond Governance is the UK’s leading independent governance consultancy. We are trusted advisers to boards, General Counsel, Company Secretaries and senior executives across FTSE 100, FTSE 250 and AIM-listed companies. Our expertise helps organisations strengthen governance, improve decision-making, and navigate the challenges of operating in a listed environment.

What you’ll do:

You’ll provide high-quality support and advice to clients across all aspects of governance and company secretarial work, including (but not limited to):

  • Preparing and reviewing annual reports
  • Managing AGMs and general meetings
  • Acting as Secretary for board and committee meetings – including minuting, creating board packs and papers
  • Overseeing insider lists, share dealing policies and MAR compliance
  • Completing regulatory filings with Companies House, the FCA and other bodies
  • Leading on governance and company secretarial projects such as M&A, share capital projects, new framework implementation, compliance health checks, and gap analyses against governance codes
  • Managing cash and DRIP dividends
  • Supporting on share schemes (EMI, LTIP, CIP, SIP, SAYE)
  • Overseeing subsidiary governance, statutory compliance and entity management

Beyond delivery, you’ll bring ideas that drive efficiency, effectiveness, and growth—while safeguarding your clients’ reputations.

How you’ll work:

  • Assignments may be ongoing through our CoSec on Demand service, or on a project basis.
  • You’ll play a role in raising the profile of Beyond Governance through contributing to client work, supporting sales and marketing initiatives, and—in time—taking part in webinars and podcasts alongside senior team members.
  • You will be expected to have line management responsibility.
  • Flexibility is built-in: You will need to be flexible to work in client office as they require potentially up to 4 days per week in office attendance.

What we’re looking for:

  • Mandatory: Fully CGIUK&I (Chartered Governance Institute UK & Ireland) qualified either ACG or FCG, with a minimum of 10 years in-house governance team experience
  • A self-starter with strong technical expertise, able to work independently while collaborating closely with our supportive team
  • Someone with the confidence to contribute value-add ideas, and the ambition to grow your influence in the governance space

Why join us?

  • Join a team of seasoned governance professionals who’ve been in your shoes in-house
  • Enjoy the variety of working with multiple clients across industries
  • Work in a remote-first, flexible set-up without losing the sense of team and shared purpose
  • Build your profile externally while delivering work that makes a real impact
