The job:
We are now seeking a commercially astute and proactive In-House Counsel to join our commercial team in Bristol. This is a pivotal role within the business, providing legal support across a broad range of commercial activities, with a particular emphasis on contract negotiation and management. The successful candidate will work closely with the Legal Director, Group Commercial Director, Chief Financial and Commercial Officer and cross-functional teams to ensure legal risk is effectively managed while enabling business growth.
Here's what you'll be doing:
· Draft, review, and negotiate a wide variety of commercial contracts with both clients and suppliers, including software licensing MSAs, supply of services agreements, DPAs and NDAs
· Drafting and finalising a range of supplier agreement including software licensing, cloud computing, services and consultancy agreements. This is frequently in the context of incorporating flow-down and flow-up risks.
· Provide strategic legal advice to internal stakeholders and senior leadership on contractual matters and commercial risk
· Support the business in managing legal aspects of technology-related agreements, including intellectual property matters and data protection compliance
· Assist in the development and implementation of internal policies and procedures to ensure legal and regulatory compliance
· Liaise with external counsel when required, ensuring cost-effective and targeted legal support
Monitor legal and regulatory developments relevant to the business and advise accordingly
Key skills and experience:
· Qualified solicitor in England & Wales (or equivalent jurisdiction)
· 5+ years PQE with a strong background in complex commercial contracts relating to either technology, FinTech or BPO
· Proven experience of working autonomously in drafting, negotiating and finalising complex commercial contracts, ideally within a technology-driven environment
· Experience of leading negotiations on technology contracts such as software licensing and cloud computing.
· Excellent communication and stakeholder management skills
· Ability to work independently and manage competing priorities in a fast-paced setting
