iManage is seeking a Commercial Counsel (Technology & Procurement) to lead the legal workstream for technology and procurement transactions. This high-impact role is responsible for managing the full lifecycle of vendor and technology agreements—including software, cloud infrastructure, AI tooling, data, and professional services—ensuring iManage acquires technology efficiently while managing legal, privacy, security, and data risks.
Reporting to the Associate General Counsel, the Commercial Counsel partners closely with procurement, finance, engineering, security, product, and privacy teams to negotiate vendor agreements, apply established risk positions, and build scalable legal playbooks and self-service resources. The role requires strong commercial judgment, practical execution, and the ability to independently manage a diverse contracting pipeline.
Key responsibilities include reviewing, negotiating, and closing technology vendor agreements; building and maintaining procurement legal frameworks; developing self-service resources; and advising internal stakeholders on contract risk in clear, accessible language. The Commercial Counsel also coordinates with privacy and security teams on contracts with data protection implications and identifies opportunities to improve procurement legal processes.
The ideal candidate holds a Juris Doctor (J.D.) with active bar membership and brings 3–5 years of commercial legal experience focused on technology procurement or buy-side transactions. Experience negotiating AI, SaaS, cloud, and data agreements from the buyer’s perspective is essential, as is the ability to manage multiple agreements concurrently and translate legal requirements into practical business guidance. In-house experience in a SaaS or technology company is strongly preferred.
