A large, publicly traded global technology and manufacturing company is seeking an experienced Corporate Counsel to join its Legal Department. This attorney will work closely with senior legal leadership and cross-functional business teams on a broad range of securities, SEC reporting, corporate governance, corporate finance, executive compensation, subsidiary management, and strategic transaction matters.

This is an excellent opportunity for a securities-focused attorney to transition into, or continue growing within, a sophisticated public company legal department with significant exposure to senior leadership and key corporate functions.

Key Responsibilities

• Prepare and review SEC and Exchange Act filings, including Forms 10-K, 10-Q and 8-K, proxy statements, annual reports, and Section 16 filings.
• Advise on investor relations matters, including earnings releases, earnings scripts, investor presentations, and other external communications.
• Support corporate governance and corporate secretarial matters involving the Board of Directors and its committees.
• Assist with corporate finance transactions, including debt and equity offerings, refinancings, and related financing matters.
• Advise on equity compensation programs, employee stock purchase plans, executive compensation, and related matters.
• Support internal tax reorganizations and other strategic tax initiatives.
• Manage legal matters involving a portfolio of global subsidiaries, including intercompany agreements, corporate governance, and cash repatriation.
• Support M&A transactions, including due diligence and antitrust/regulatory matters.
• Partner closely with Finance, Investor Relations, Tax, Treasury, Human Resources, and other internal stakeholders.
• Provide practical, business-oriented legal advice on a variety of corporate and securities matters.

Qualifications

• J.D. from an accredited law school and active membership in at least one U.S. state bar.
• 3+ years of focused securities and corporate governance experience, gained at a leading law firm and/or within the legal department of a publicly traded company.
• Strong knowledge of public company reporting, SEC disclosure, securities law, and corporate governance requirements.
• Demonstrated experience preparing and reviewing SEC filings and advising on disclosure matters.
• Excellent legal drafting, communication, and analytical skills with the ability to translate complex issues into practical business advice.
• Strong organizational skills and meticulous attention to detail.
• Ability to effectively manage multiple priorities in a fast-paced, global corporate environment.
• Collaborative, commercially minded approach to working with legal and business stakeholders.
• Familiarity with finance and accounting concepts is beneficial.

Work Environment

This is a hybrid position requiring three days per week on-site in Andover, Massachusetts. Candidates should be within reasonable commuting distance of the office or willing to relocate.
