Job Description

We are seeking a Corporate Paralegal with at least 3 years of experience to join a dynamic and sophisticated Corporate & Business Group. The ideal candidate should have experience and a strong understanding of paralegal responsibilities related to various corporate and financial transactions, including:

  • Drafting ancillary transaction documents, including resolutions, certificates, entity formation documents, state filings, and other governance documents.
  • Coordinating due diligence activities, including organizing documents and records, establishing and maintaining virtual data rooms, preparing closing documents, and coordinating closing and post-closing requirements.
  • Preparing and maintaining transaction timetables and checklists.
  • Preparing and filing annual reports and other periodic compliance filings with federal, state, and local agencies.
  • Organizing and maintaining corporate minute books and stock ledgers.
  • Conducting online UCC, corporate, and court record searches.
  • Preparing and filing UCC financing statements.
  • Assisting with federal and state business licensing matters.
  • Assisting with all aspects of final transaction closings.

Qualifications

  • Minimum 3 years of corporate paralegal experience.
  • Experience supporting corporate and financial transactions.
  • Strong verbal and written communication skills.
  • Excellent organizational and time-management skills.
  • Ability to manage multiple projects simultaneously.
  • Strong attention to detail.
  • Proficiency with Microsoft Office Suite.
  • Bachelor’s degree and paralegal certificate preferred, or equivalent relevant work experience.
