Role Overview

Client is seeking a seasoned, senior-level Senior Program Manager, M&A Finance to drive finance workstreams across the entire M&A transaction lifecycle. Reporting to the Director of M&A Finance, this critical leader will oversee financial diligence, deal modeling, close readiness, Day 1 execution, and post-close integration across acquisitions, divestitures, and strategic growth initiatives.

Key Responsibilities

• Full-Lifecycle M&A Execution: Lead finance workstreams from pre-deal financial due diligence, deal modeling, and signing through Day 1 readiness and multi-year post-merger integration (PMI).
• Financial Due Diligence & Deal Structuring: Conduct deep financial analysis of target companies (P&L, cash flow, working capital pegs, revenue quality, ARR/SaaS metrics). Review purchase agreements to provide finance input on closing mechanics, net working capital adjustments, funds flow, escrows, and earn-outs.
• Day 1 & Cross-Functional Finance Readiness: Partner with corporate sub-functions-FP&A, Record-to-Report (R2R), Order-to-Cash (O2C), Procure-to-Pay (P2P), Treasury, Tax, and Payroll-to ensure business continuity and seamless cutover.
• Finance Integration & Synergy Realization: Architect integration roadmaps, migrate targets into Client financial operating model and ERP/EPM platforms, harmonize chart of accounts, and track synergies/KPIs.
• Executive Advisory: Synthesize complex diligence and integration findings into concise executive dashboards, transaction committee decks, and C-suite briefings.

Qualifications

• Experience: 9+ years of progressive experience in M&A Finance, Transaction Advisory Services (Big 4 TAS/FDD), Corporate Development, Strategic FP&A, or Finance Post-Merger Integration (PMI).
• Domain Mastery: Proven track record leading transactions through financial due diligence, deal closing mechanics, and end-to-end finance integration.
• Process Knowledge: Broad understanding of end-to-end corporate finance processes (R2R, O2C, P2P, FP&A, Tax, Treasury, Payroll).
• Industry Background: Strong preference for enterprise SaaS, software, cloud, or subscription-based technology business models.
• Education & Credentials: Bachelor's in Finance, Accounting, or Economics; MBA, CPA, or CFA strongly preferred.
