Job Description

Position Summary


DataOne is seeking an experienced and business-oriented Senior Corporate Counsel to join its growing Legal Department. Reporting directly to the Chief Legal Officer, this position will play a key role in supporting the Company's corporate development, mergers and acquisitions, financing activities, corporate governance, regulatory compliance, and strategic growth initiatives.

The successful candidate will work closely with executive leadership, finance, external advisors, lenders, investors, auditors, and regulatory authorities on a wide range of complex transactions and legal matters. The role offers significant exposure to executive-level decision-making and provides an opportunity to contribute to high-value acquisitions, financings, infrastructure developments, regulatory matters, and litigation affecting the Company's operations.

This position is ideal for an attorney who combines strong transactional experience with sound business judgment and who is comfortable operating in a fast-paced, entrepreneurial, and high-growth environment.

Mergers, Acquisitions & Corporate Development

·       Support and manage mergers, acquisitions, divestitures, joint ventures, strategic partnerships, investments, and other corporate development initiatives.

·       Draft, review, negotiate, and coordinate transaction documents including LOIs, term sheets, purchase agreements, shareholder agreements, joint venture agreements, disclosure schedules, and ancillary documents.

·       Lead and coordinate legal due diligence efforts.

·       Manage legal workstreams from transaction evaluation through closing and post-closing integration.

·       Coordinate with investment bankers, financial advisors, consultants, accountants, and external legal counsel.

·       Prepare transaction summaries, risk assessments, and recommendations for executive leadership.

Financing, Banking & Investor Relations Support

·       Support debt financings, project financings, equipment financings, capital raises, refinancing transactions, and other strategic funding initiatives.

·       Draft, review, and negotiate financing-related documents including credit agreements, loan agreements, security agreements, guarantees, intercreditor agreements, commitment letters, and term sheets.

·       Participate in negotiations and discussions with lenders, banks, financial institutions, investors, private equity firms, investment bankers, and financial advisors.

·       Coordinate financing-related due diligence processes and information requests.

·       Support management responses to legal and diligence inquiries from lenders, investors, auditors, and financing stakeholders.

·       Monitor compliance with financing agreements, reporting obligations, and covenant requirements.

Corporate Governance & Compliance

·       Support governance matters for U.S. and international subsidiaries.

·       Prepare board resolutions, written consents, corporate approvals, governance records, and organizational documentation.

·       Assist with entity management, annual filings, and regulatory requirements.

·       Support implementation and maintenance of corporate compliance programs, policies, and procedures.

·       Coordinate with regulatory authorities, external advisors, and consultants.

Regulatory & Strategic Legal Matters

·       Support legal aspects of data center development, infrastructure projects, energy projects, telecommunications matters, and other regulated business activities.

·       Assist with permitting, licensing, regulatory approvals, and compliance obligations.

·       Analyze regulatory developments and advise business stakeholders regarding potential impacts.

Litigation & Dispute Management

·       Assist the Chief Legal Officer in managing litigation, arbitration, mediation, investigations, regulatory proceedings, and other disputes involving the Company.

·       Coordinate with outside counsel regarding litigation strategy, pleadings, discovery, motions, expert witnesses, and settlement discussions.

·       Support litigation budgeting, document preservation, internal investigations, and fact-gathering efforts.

·       Assist in responding to claims, subpoenas, regulatory inquiries, and pre-litigation disputes.

Strategic Business Support

·       Provide practical legal advice and risk assessments to executive leadership.

·       Collaborate closely with finance, accounting, operations, engineering, project management, and executive leadership teams.

·       Support special projects and initiatives assigned by the Chief Legal Officer.

Qualifications

·       Juris Doctor (J.D.) degree from an accredited law school.

·       Active membership in good standing with at least one U.S. state bar.

·       Minimum of 8 years of legal experience.

·       Significant experience in mergers and acquisitions, corporate transactions, financing transactions, and corporate governance matters.

·       Experience working with lenders, financial institutions, investors, investment bankers, auditors, and external advisors.

·       Familiarity with regulatory and compliance matters affecting corporate operations.

·       Experience supporting litigation and dispute management.

·       Excellent legal drafting, negotiation, analytical, and communication skills.

·       Strong business judgment and commercial awareness.

Preferred Qualifications

·       Experience in the data center, digital infrastructure, telecommunications, technology, energy, utilities, construction, or infrastructure sectors.

·       Experience supporting project finance transactions and large-scale infrastructure developments.

·       Experience with private equity-backed businesses, growth-stage companies, or complex corporate structures.

·       Experience with cross-border transactions and international operations.
