Senior Counsel, Strategic Deals

As a Senior Counsel, Strategic Deals, you will be tasked with owning three areas as an experienced technology transactions attorney on our legal team: strategic partnerships (such as OEM, technology alliance, AI and service-provider partners); commercial support for strategic initiatives; and commercial support for M&A diligence and integration. This is a new, hands-on role on a newly created team dedicated to the company's most strategic and complex commercial transactions, where you'll own your deals end to end, work side by side with the Legal Director, Strategic Deals on our most significant negotiations, and help build the playbooks and processes for a new function from day one. You will work closely with Business Development, Technology Partnerships, Product, Engineering, Finance, and Corporate Development, and partner with our commercial, product/IP/AI, privacy, and procurement legal teams.

What Will You Do?

Primary responsibilities include:

• Strategic Partnerships: Draft, review, and negotiate complex partnership agreements including OEM, technology licensing and alliance. Own deals end to end and support the Legal Director on the largest transactions.
• IP Licensing & Technology Rights: Negotiate IP ownership, license scope, data rights, and AI terms.
• Strategic Product Initiatives: Work with Product and GTM teams on new offerings and translate them into clear customer and partner terms.
• M&A Support: Conduct commercial contract diligence on acquisition targets, identify material risks in customer, partner, and IP agreements, and support post-close contract integration and assignment workstreams.
• Advice & Issue Spotting: Give practical, business-focused advice to deal teams. Identify material risks and escalate with a clear recommendation.
• Process & Playbooks: Help build the templates, playbooks, and processes that let the function scale.
• Cross-Functional Collaboration: Coordinate with commercial, product/IP/AI, privacy, security, and procurement legal colleagues so that each strategic deal gets consistent, company-wide positions.

What Skills and Knowledge Will You Bring?

Ideal candidates will have:

• Juris Doctor (JD) from an accredited U.S. law school or equivalent, with an active license to practice law in a U.S. state.
• 8 or more years of legal experience with a focus on technology transactions, ideally a combination of top-tier law firm and in-house experience at a technology company.
• Strong working knowledge of IP licensing and complex technology agreements, including OEM, strategic alliance and SaaS.
• Fluency with AI tools and a track record of using them to work faster and smarter, whether in drafting, contract review, diligence or knowledge management.
• Proven ability to independently negotiate complex agreements with sophisticated counterparties.
• Business judgment and commercial instinct, with an understanding of the business behind the deal, not just the paper.
• Excellent written and verbal communication skills, with the ability to explain complex legal issues in plain business terms.
• Cybersecurity and/or enterprise SaaS industry experience, as well as channel, OEM, and MSSP/service-provider program experience, is preferred.
• Experience with terms for agentic or autonomous AI products, including training data, output rights and liability allocation, is preferred.
• M&A experience, particularly commercial diligence and post-close contract integration (a plus, not required).
