Senior Corporate Finance AttorneyAbout the Role
A growing corporate law practice is seeking a
Senior Corporate Finance Attorney to help build and expand its debt finance practice. The attorney will represent both borrowers and lenders in sophisticated financing transactions and related debt matters. This is an excellent opportunity for an experienced transactional attorney seeking substantial debt financing work, direct client interaction, and long-term opportunities for professional growth and leadership within a collaborative environment.

The ideal candidate will have significant experience structuring, negotiating, and closing senior and subordinated credit facilities, along with strong drafting, negotiation, and client-facing skills.

Responsibilities
Represent borrowers and lenders in debt financing transactions and credit facilities, including:
Asset-based lending (ABL)
Term loans
Revolving credit facilities
Acquisition financings
Warehouse facilities and other specialized financing structures
Draft, review, and negotiate:
Loan agreements
Security agreements
Guarantees
Intercreditor agreements
Other related financing documents
Advise clients on financing structures related to business growth, expansion, acquisitions, and operational capital requirements. Manage financing transactions from term sheet through closing.

Coordinate due diligence, closing deliverables, and transaction execution. Work directly with banks, private credit lenders, venture capital firms, private equity sponsors, investors, and corporate clients. Provide strategic guidance regarding financing structures, risk allocation, and transaction management. Supervise and mentor junior corporate attorneys. Collaborate with attorneys across corporate, M&A, tax, real estate, bankruptcy, and commercial practice areas. Qualifications
Juris Doctor (JD) from an accredited law school. Admission to the
Pennsylvania Bar
, or ability to waive in.

Attorneys admitted in
New Jersey and/or New York may be considered on a case-by-case basis.
5-7+ years of experience in debt finance, corporate finance, commercial lending, or related transactional matters. Experience representing borrowers and/or lenders in secured and unsecured financing transactions
. Strong drafting and negotiation experience involving complex financing documents. Ability to independently manage sophisticated transactions and client relationships. Excellent analytical, organizational, communication, and client-service skills.

Experience at a large law firm or sophisticated transactional boutique is preferred. Interest in joining and helping grow a developing corporate finance practice, with opportunities to take on meaningful responsibility and leadership.

Cherry Hill, NJ or New York, NY on a case-by-case basis.
